Terms and Conditions
AudioReel platform · Audio Bottega S.r.l.
Version 2.0 · In force from 12 October 2026 for new clients. For existing clients it applies from 12 November 2026 (thirty days after notice by email, section 8); until then version 1.0 and the balance rules shown in the platform apply.
1. Who we are and what we do
AudioReel is a service of Audio Bottega S.r.l., based in Milan, Italy (“we”). We provide audio post-production for short video content: voice cleaning, music editing, sound design and mixing.
Processing is automatic: it is carried out by a system we built ourselves, turning our studio's working method into rules, which makes use of artificial intelligence tools from third-party providers (listed in the privacy policy). No person works on an individual piece of content before delivery. The processed file is normally ready 5–10 minutes after upload; times shown in the platform are an estimate, not a guaranteed deadline.
The service is aimed at professionals, businesses and VAT-registered individuals. It is not intended for consumers or for anyone under eighteen.
2. Account
To use the platform you must create an account with truthful information and keep your credentials confidential. You are responsible for what happens from your account. If you suspect unauthorised access, write to us immediately at hello@audioreel.app.
You can delete your account at any time from your profile. Deletion erases the files and the text you wrote in the platform; only accounting documents remain, which we are required by law to keep.
3. Credits, subscriptions and payments
The service is paid for in credits: 100 credits are worth 60 seconds of video. Each piece of content you upload deducts from your balance the credits corresponding to its length, calculated by the second and rounded up to the whole credit, with a minimum of 100 credits per piece of content. Separating the voice from the music, when needed, is included at no extra cost. The cost is shown before you upload. Credits are bought with a monthly subscription or with one-off top-ups, at the prices published on the Plans page at the time of purchase: in US dollars, excluding taxes (VAT and other applicable taxes are calculated at checkout). Payments are handled by Stripe: we neither see nor store your card details.
Credits included in the subscription are valid for the period they refer to and do not carry over to the following period. Top-up credits do not expire; clients with an active subscription buy them at the discounted price shown on the Plans page. On sign-up you receive, once per email address, 200 free trial credits.
The subscription renews automatically at the end of each period and you can cancel it at any time from your profile: it stays active, with its credits, until the end of the period already paid. If you delete a piece of content before processing starts, the credits return to your balance; once processing has started they remain used. The cost of revisions is set out in section 6.
4. What you can upload
By uploading a file you declare and warrant that you:
- hold all the necessary rights to the content, including those to the music and the recordings it contains;
- have a release from the people filmed or recorded, for the use you will make of it and for the processing you commission from us;
- do not upload content that is unlawful, defamatory, infringes third-party rights or falls within the special categories of data listed in Annex A.
The content remains yours. We do not acquire ownership of it, we do not use it for our own purposes and we do not use it, nor let our providers use it, to train artificial intelligence models. Our team's assessments of delivered work are used to improve the general rules of the service, as described in section A.4: no images, voices, names or text from your content go into those rules.
5. Promotional publication
We may publish a piece of processed content on our website, our channels or a demonstration page only if you give us written consent specific to that content, and only after you have confirmed that you hold a release from the people filmed or recorded. You can withdraw it at any time by writing to hello@audioreel.app: we remove the content within five working days.
6. Deliveries and revisions
Processing follows what you indicate at upload: what can be heard in the video, the separate tracks and the brief. Incomplete or incorrect indications may worsen the result. Each delivery includes the processed audio and the video with the new audio.
You can request a revision by stating what to change: the content is reprocessed and we deliver a new version. Every revision costs 100 credits, whatever the content and its length. The cost is shown before confirmation and is deducted when you confirm the request.
The result is produced automatically and we do not guarantee a subjective artistic outcome: we guarantee processing consistent with the indications received and with the technical checks of our method (levels, peaks, voice intelligibility).
7. Liability
We do our best to keep the service available, but we cannot guarantee uninterrupted operation. Except in cases of wilful misconduct or gross negligence, our total liability is limited to the amount you paid in the twelve months preceding the event.
You undertake to indemnify us against third-party claims arising from a breach of the warranties in section 4 and section A.11.
8. Changes
If we change these terms we will notify you by email with at least thirty days' notice. If you do not accept, you can cancel without penalty within that period.
9. Governing law and jurisdiction
Italian law applies. The Court of Milan has exclusive jurisdiction over any dispute.
Annex A — Data Processing Agreement (Art. 28 GDPR)
A.1 Roles
For the content the Client uploads to the platform (videos, audio tracks, briefs, messages) the Client is the controller and Audio Bottega S.r.l. is the processor. This annex constitutes the written agreement required by Art. 28(3) of Regulation (EU) 2016/679 and is concluded upon acceptance of the Terms and Conditions.
A.2 Subject matter, duration, nature and purpose
Audio Bottega processes the data contained in the uploaded files solely to carry out the commissioned audio post-production (voice cleaning, music editing, sound design, mixing) and to deliver the processed files. Processing is automated: it includes transcribing the voice, extracting some frames from the video and sending these elements, together with the Client's indications, to the sub-processors referred to in section A.7 to clean the voice and plan the mix. Processing does not produce decisions with legal effects on the people filmed. It lasts as long as the contractual relationship and in any case no longer than the retention periods set out in section A.9.
A.3 Types of data and categories of data subjects
Images, voices, names and any other personal data the Client decides to include in the uploaded files. Data subjects: the people filmed or recorded in the Client's content (employees, collaborators, customers, talent, third parties). The Client undertakes not to upload special categories of data under Art. 9 GDPR, data relating to criminal convictions and offences (Art. 10 GDPR), or content depicting minors, unless agreed in writing in advance.
A.4 Documented instructions
Audio Bottega processes the data only on the Client's documented instructions, consisting of this annex, the Terms and Conditions and the briefs entered in the platform. It does not use the data for its own purposes, does not transfer it to third parties, and does not use it, nor let sub-processors use it, to train artificial intelligence models. The Client authorises Audio Bottega to use its staff's assessments of delivered work, and the technical processing plan they refer to, to improve the general rules of the service, provided that no images, voices, names or text taken from the Client's content go into those rules. If an instruction from the Client appears to conflict with applicable law, Audio Bottega will say so without delay.
A.5 Confidentiality
Processing takes place without human intervention on the individual piece of content. The people who may access content for quality control or support are individually identified, instructed and bound by a contractual duty of confidentiality.
A.6 Security (Art. 32)
Audio Bottega applies: encryption of traffic in transit (TLS), access to files through temporary signed links valid for no more than fifteen minutes, storage in private, non-listable buckets, individual authentication with credentials stored as cryptographic hashes, role-based access segregation on a need-to-know basis, and logging of administrative access.
A.7 Sub-processors
The Client gives general authorisation for the use of the sub-processors listed in the platform's privacy policy, section “Who processes data on our behalf”. Audio Bottega gives written notice of any addition or replacement at least thirty days in advance; within that period the Client may object on reasonable grounds and, failing agreement, withdraw without penalty. Audio Bottega imposes on each sub-processor obligations no less stringent than those undertaken here and is liable for their performance.
A.8 Assistance to the Client
Audio Bottega assists the Client, through appropriate technical and organisational measures and insofar as possible: in responding to requests to exercise data subjects' rights (Arts. 15–22), forwarding without delay any request received directly; and in meeting the obligations under Arts. 32–36, including impact assessments. In the event of a personal data breach, Audio Bottega informs the Client without undue delay and in any case within twenty-four hours of becoming aware of it, providing the information needed for notification under Art. 33.
A.9 Data at the end of processing
Uploaded and delivered files are deleted automatically thirty days after delivery, together with working copies on the processing systems and voice transcriptions. Only the technical plan of the work remains (mix and sound design choices, without transcriptions or frames). If the relationship ends or the account is deleted, all remaining files are deleted without delay. Only accounting documents are kept, for which Audio Bottega acts as an independent controller in compliance with a legal obligation.
A.10 Audits
Audio Bottega makes available to the Client the information needed to demonstrate compliance with the obligations in this annex and allows audits, including by written questionnaire, with thirty days' notice and no more than once a year, except in the event of a data breach.
A.11 Client warranties
The Client warrants that it has an appropriate legal basis for processing the data contained in the uploaded files and for disclosing it to Audio Bottega, that it has provided data subjects with the information required by Art. 13 and that it has obtained, where necessary, consent or a release for the use of image and voice. The Client indemnifies Audio Bottega against any third-party claim arising from a breach of this warranty.
